Terms & Conditions

1. DEFINITIONS

“Organization” is as defined in the Organization Name field of this 2022 Annual Research Package Order Form;
“Research Pieces” means the materials listed for order, or any of them, as set out on page 1 of this 2022 research order form. 

2. USE

2.1 The Organization may only use the Research Pieces, or any of them, for its own business purposes. The Organization shall not sell, assign, transfer, disclose or otherwise provide the Research Pieces or any information contained therein, to any other person, natural or fictitious, except as specifically permitted herein. 
2.2 The Organization may share the Research Pieces or any information contained therein with its wholly owned subsidiaries (the “Subsidiaries”), if the Organization obtains the Subsidiaries’ written agreement to abide by these Terms and Conditions.
2.3 The Organization may only share the Research Pieces or any information contained therein with any other person natural or fictitious if the Organization first obtains the written permission of Central 1 Credit Union, such permission may be unreasonably withheld.

3. DISCLAIMERS

3.1 While Central 1 Credit Union has taken reasonable steps to ensure the accuracy of the information in the Research Pieces as of the date of their publications, the information provided in the Research Pieces is provided without warranty of any kind. Neither Central 1 Credit Union nor the authors shall be responsible for any use made of the Research Pieces or any of them. The Organization is solely responsible for the use of the Research Pieces. 
3.2 Central 1 Credit Union is not responsible for any errors or omissions contained in the Research Pieces or any of them and expressly disclaims any liability for loss or damage, whether direct or indirect and whether arising under contract, in tort or under any other legal theory resulting from any use of the Research Pieces.
3.3 The Organization will indemnify Central 1 Credit Union against any and all claims, demands, awards, judgments, actions and proceedings by whomsoever made, brought or prosecuted and against any and all loss, expenses and costs suffered or incurred by Central 1 Credit Union in any way arising out of or relating to the use of the Research Pieces.
